Welcome to skyfalloverseas.com, operated by Skyfall Overseas Enterprises, a sole proprietorship based in Kolkata, India (“we”, “our” or “us”).
These Terms & Conditions govern the use of our website and, where incorporated into an order agreement, the supply of our products and services. Please read them before submitting an enquiry or placing an order.
If an accepted quotation, proforma invoice or written order agreement contains different terms, those agreed terms take precedence for that order.
1. Nature of Our Business
Skyfall Overseas Enterprises manufactures, trades and exports leather products and supplies finished leather materials.
We serve wholesalers, retailers, importers, distributors, private label brands and other business customers. Unless expressly stated otherwise, our products and services are offered for business and commercial use.
2. Use of Our Website
When using our website, you agree to:
- Provide accurate information when submitting enquiries.
- Use the website only for lawful purposes.
- Avoid activities that interfere with its operation or security.
- Respect our intellectual property and the rights of others.
We may restrict access where reasonably necessary to address misuse, fraud or security threats.
3. Product Information and Natural Variations
We aim to present product descriptions, photographs and specifications accurately. Images are illustrative, and colours may appear differently depending on lighting and screen settings.
Genuine leather naturally varies in grain, texture and colour. Minor variations consistent with the agreed leather type and approved sample are not necessarily defects. This does not excuse faulty workmanship or a material departure from agreed specifications.
Website listings may be updated, but changes to confirmed order specifications require agreement with the buyer. Product and material availability must be confirmed before ordering.
4. Quotations and Order Confirmation
Website listings and enquiries do not, by themselves, create a confirmed order.
Quotations are subject to their stated validity period and conditions. An order is confirmed when we provide written acceptance of the agreed specifications, quantity, pricing and commercial terms.
Production begins after the required advance payment and any necessary design or sample approvals have been received.
We may decline an enquiry or proposed order before acceptance. Once an order is accepted, cancellation is governed by the agreed terms and applicable law.
5. Pricing
Prices depend on the product design, leather, components, order quantity, branding and packaging requirements.
Unless expressly included in the quotation, prices exclude freight, insurance, taxes, customs duties and destination charges.
Confirmed prices apply to the agreed order. Changes requested by the buyer may require a revised quotation and delivery schedule. We will communicate any proposed adjustment for approval before proceeding.
6. Payment Terms
Payment amounts, due dates, currency and accepted payment methods will be stated in the quotation or proforma invoice.
Unless otherwise agreed in writing, our standard payment arrangement is:
- 50% advance payment before production.
- 50% balance payment before dispatch.
Late payment may delay production or dispatch. Where necessary, we may suspend further work or shipment after notifying the buyer.
Any allocation of bank transfer or intermediary charges will be stated in the agreed payment terms.
7. Samples, Customisation and Buyer Approval
For customised orders, buyers should review and approve the relevant samples, designs, dimensions, colours, branding and packaging before production.
Buyers are responsible for checking the accuracy of any names, logos, artwork and instructions they supply. Approval does not relieve us of our responsibility to manufacture or supply goods according to the agreed specifications.
Changes requested after approval may affect costs and lead times and are subject to written acceptance.
Sample development, tooling, logo dies and courier charges, where applicable, will be communicated separately.
8. Order Changes and Cancellation
Please submit requests to change or cancel an order in writing as soon as possible.
Acceptance of a cancellation or change depends on the stage of production and commitments already made. Where materials have been purchased or work has begun, reasonable, documented costs and unavoidable commitments may be deducted from any refundable amount, subject to the agreement and applicable law.
Custom-made or branded goods supplied according to approved specifications are not normally eligible for return solely because the buyer changes their mind. This does not affect valid claims for defects or non-conforming goods.
9. Production and Delivery
Production schedules depend on order quantity, customisation, material availability and timely buyer approvals.
Production time and shipping time are separate. Estimated schedules will be communicated when the order is confirmed or shipment is arranged.
Unless expressly agreed otherwise, delivery dates are estimates. If a delay arises, we will communicate the available information and discuss the next steps with the buyer.
10. Shipping, Export and Insurance
Shipping arrangements, freight charges, customs responsibilities and insurance will follow the terms confirmed for each order.
Where a recognised trade term is used, the quotation or order agreement should identify the applicable Incoterms version and named place or port.
Buyers must provide accurate consignee information and meet the import requirements allocated to them under the agreed terms. Duties, taxes and destination charges are payable by the buyer unless expressly included in our quotation.
Responsibility for transit risk follows the agreed delivery terms; it does not automatically transfer merely because goods have been dispatched.
Please also refer to our Shipping Policy.
11. Inspection, Returns and Claims
Please inspect the goods promptly upon receipt and notify us of any damage, shortage, defect or discrepancy as soon as reasonably possible after discovery.
A claim should include:
- The order or invoice number.
- Details of the affected products and quantities.
- Clear photographs showing the issue.
- Relevant packaging, delivery or shipment information.
Please retain the affected goods and packaging while the claim is reviewed. Contact us before arranging a return so that the appropriate return and shipping arrangements can be agreed.
We will assess claims against the confirmed specifications, approved samples and available evidence. Depending on the findings and applicable rights, a resolution may include repair, replacement, a price adjustment or refund.
Normal wear, improper storage, misuse or unauthorised alterations may affect eligibility for a claim where they caused the issue.
12. Intellectual Property and Customer Designs
Website content owned by or licensed to Skyfall Overseas Enterprises—including text, photographs, graphics and logos—is protected by applicable intellectual property laws.
You may view and share links to our product pages for legitimate business purposes. Other reproduction or commercial use requires permission from the relevant rights holder.
Buyers supplying logos, artwork or designs confirm that they have the necessary rights or permission for their use. They authorise us to use those materials only as reasonably required to quote, develop and fulfil the order.
Ownership of any newly commissioned designs, tooling or development work should be agreed separately in writing.
13. Limitation of Liability
To the extent permitted by applicable law, we are not liable for indirect or consequential losses arising from an order, including lost profits or lost business opportunities.
Subject to applicable law and any separate written agreement, our aggregate liability relating to an affected order will not exceed the total price paid or payable for that order.
These limitations do not exclude liability for fraud, wilful misconduct or any liability that cannot lawfully be excluded or limited.
14. Privacy
Our Privacy Policy explains how we collect, use and protect personal information when you visit our website or communicate with us.
15. Events Beyond Reasonable Control
Neither party will be responsible for a failure or delay to the extent caused by an event beyond its reasonable control that could not reasonably have been avoided or overcome.
Such events may include natural disasters, war, government restrictions or major transport disruptions.
The affected party should notify the other party promptly and take reasonable steps to reduce the impact. If the disruption continues, the parties will discuss revised arrangements or termination, including the treatment of completed work, committed costs and any refundable balance, subject to applicable law.
16. Governing Law and Disputes
These terms and orders governed by them are subject to the laws of India, without excluding any mandatory rights that apply.
If a dispute arises, please contact us first so we can try to resolve it through discussion.
Unless another dispute-resolution arrangement is agreed in writing, disputes will be handled by courts having competent jurisdiction under applicable law.
17. Updates to These Terms
We may revise these terms and publish the updated version on this page.
Changes apply prospectively and do not alter previously confirmed orders unless both parties agree or a change is required by law.
If any provision is found unenforceable, the remaining provisions continue to apply to the extent permitted by law.
